**Hyatt Engages in Exclusive Talks with Playa Hotels & Resorts N.V.**
**CHICAGO (December 23, 2024)** – Hyatt Hotels Corporation (NYSE: H) has announced the signing of an exclusivity agreement with Playa Hotels & Resorts N.V. (NASDAQ: PLYA). Under this agreement, Playa will exclusively negotiate with Hyatt regarding potential strategic opportunities, which could include Hyatt acquiring Playa.
Mark S. Hoplamazian, President and CEO of Hyatt, stated, “Playa has been a trusted partner for years and is a leading operator of all-inclusive resorts, with a top-tier portfolio of high-end properties in iconic destinations across the Caribbean and Mexico. Exploring these strategic alternatives could align with our long-term goals by adding durable fee streams to Hyatt’s portfolio. As always, we remain committed to our asset-light business model, and any strategic decisions will reflect this commitment.”
Hyatt emphasized that there is no guarantee a transaction will result from these discussions or what the terms might be. The company does not plan to provide further updates unless a definitive agreement is reached.
In compliance with federal securities laws, Hyatt, which owns 9.99% of Playa’s outstanding shares, has amended its Schedule 13D filing with the U.S. Securities and Exchange Commission to disclose these discussions.
